1. Scope
These terms apply to the sale of software licences, subscriptions, implementation, training and support services by Rad Images GmbH (the "Supplier") to business customers (the "Customer"). Specific terms are set out in a quotation, order or contract, which prevail over these general terms in case of conflict.
2. Quotations and orders
Quotations are valid for 30 days unless stated otherwise. An order becomes binding when the Supplier confirms it in writing or issues an invoice.
3. Licences
- Software is licensed, not sold. The Customer receives a non-exclusive, non-transferable right to use the software within the licensed scope (sites, workstations, modules, users)
- The Customer may not reverse-engineer, copy beyond the licensed scope or sublicense the software
- Licence keys and access credentials are confidential
4. Delivery
Software is delivered electronically or installed by the Supplier as agreed. Services are delivered according to the implementation plan agreed with the Customer.
5. Prices and payment
Prices are stated in the quotation and exclude taxes unless stated otherwise. Invoices are payable within 14 days unless a different term is agreed. The Supplier may suspend services for overdue payments after written notice.
6. Customer obligations
- Provide the hardware, network and access required for installation
- Ensure that use of the software complies with applicable healthcare regulations
- Appoint a contact person for the project and support
7. Warranty and support
The Supplier warrants that the software substantially conforms to its documentation. Defects reported during the warranty period are corrected under the support terms. Support and maintenance after the warranty period are provided under a separate service agreement.
8. Data protection
Where the Supplier processes personal data on behalf of the Customer, the parties conclude a data-processing agreement. Patient data always remains under the Customer's control.
9. Liability
The Supplier's liability is limited to the amount paid by the Customer under the relevant order in the preceding twelve months, except in cases of wilful misconduct or where liability cannot be limited by law.
10. Term and termination
Subscriptions run for the agreed term and renew automatically unless terminated in writing 30 days before the end of the term. Either party may terminate for material breach not remedied within 30 days of notice.
11. Governing law
These terms are governed by the law stated in the contract or, absent such a statement, by the law of the Supplier's registered seat.
